THE RECORD OF THE SALE:
The record of sale (which are YOGA COMPANYS' own records which relate to the sale) will be taken as absolute and final in all disputes. In the event of a discrepancy between YOGA COMPANYS' and any online records or messages provided to you and the record of sale, the record of sale will govern.
INTERNATIONAL PAYMENT
HOW TO PAY
You must pay for any Art bought at YOGA COMPANY via Direct Bank Payment. We will only accept Direct Bank transfer.
TRANSFERRING OWNERSHIP TO YOU
All Transaction fees for International Payments will be borne by the customer.
It is your responsibility to ascertain and pay all international duties, custom charges, taxes, charges and tariffs owed to the appropriate government entity or that otherwise need to be paid prior to shipment and/or delivery including any third-party charges necessary to facilitate
shipment.
YOGA COMPANY does not have access to, or retain any credit card or other payment information details.
You will not own the Artwork until we have received full and clear payment via Direct Transfer of €1890 to this Account or 27,000 for our Entire YogaCompany Collection.

You will not own the Artwork until we have received full and clear payment which will be confirmed. and include all shipping and related costs and charges including Loss, Damage and Liability (LDL); and any duties, goods, sales or service tax or VAT. International Duties: For international buyers, the terms of sale are Delivered Duty Unpaid (DDU).
We accept Direct Bank Payment on Yoga Company. We cannot change the buyer’s name on an invoice or re-issue the invoice in a different name. You must pay before receiving the Artwork even if you want to export and you need an export license.
PAYMENT METHOD
Please note that if you pay for your purchase outside the region of the sale, depending on the account you hold, the payment may incur a cross-border transaction fee. If you think this may apply to, you, please check with your Bank credit card issuer before proceeding.
YOGA COMPANY Partial payments or payment for a single Artwork will not be allowed. If you purchase multiple ARTWORKS you may purchase one with one full payment and another with a another full payment but you will need to go through two separate check-outs.
TRANSPORT AND SHIPPING YOGA COMPANY
TRANSPORT AND SHIPPING
We will ship your purchases that are paid for in full to the address you provide at check-out, no later than 30 days from conclusion of the contract, unless otherwise explicitly agreed. We are responsible for shipping expenses, including costs, packing and handling which will be made via Bluedart or DHL.
Although we shall use reasonable efforts to take care when handling, packing and facilitating any shipment of a purchase at YOGA COMPANY is not responsible for any acts or omissions of any third party retained for these purposes, including, without limitation, any packing, shipping or delivery of purchases. Similarly, where we may suggest any third party handler, packer or carrier if so requested, we do not accept liability for their acts or omissions and you agree to release us from any such liability

In addition to the other rights of cancellation contained in this agreement, we can cancel a sale if we reasonably believe that completing the transaction is or may be unlawful or that the sale places us or the seller under any liability to anyone else or may damage our reputation.
REFUNDS
We are Sorry, No Exchanges will be possible after payment and no refunds will be possible after payment as we have to pay our Staff, Crew and Curators which come first.,
COPYRIGHT
We own the copyright in all images, illustrations and written material produced by or for us You cannot use them without our written permission. We do not offer any guarantee that you will gain any copyright or other reproduction rights.
CONNECTIVITY AND TECHNICAL ISSUES
The application that enables online bidding is optimized for broadband connectivity (DSL or cable modem). Please note that broadband or other internet capacity constraints, corporate firewalls and other technical problems beyond our reasonable control may create difficulties for some users including, by way of example, in relation to accessing sales and in maintaining continuity of such access. Errors may occur in the quality of digital images. We do not accept liability for such difficulties or errors.
EVENTS OUTSIDE THE CONTROL OF YOGA COMPANY
Neither we, you, nor the seller will be responsible for any failure to meet any obligation which we you or the seller has under these Conditions of Sale which is caused by circumstances beyond our, your or the seller’s reasonable control. This includes, but is not limited to strikes, lock-outs fire, flood, natural disasters, war, armed conflict, terrorist attack and nuclear and chemical contamination.

Licensing Agreement
Dear [Licensee Name],
This Licensing Agreement (the "Agreement") is entered into between Yogacompany herein after referred to as "Licensor," and [Licensee Name], hereinafter referred to as "Licensee," collectively referred to as the "Parties."
- Grant of License: Licensor hereby grants Licensee a non-exclusive license to reproduce and distribute artworks owned or represented by YogaCompany Gallery (the "Artworks") for commercial purposes. The license is granted subject to the terms and conditions outlined in this Agreement.
- License Fee: Licensee shall pay a licensing fee of Euros 150,500 (or 9.5% of sales reproductions, whichever is higher) to YogaCompany Gallery. - Intellectual Property: a. The Artworks remain the exclusive property of YogaCompany Gallery. This Agreement does not transfer ownership of the Artworks to Licensee. b. Licensee shall not modify or alter the Artworks without prior written consent from YogaCompany Gallery.
- Confidentiality: Both Parties agree to keep any confidential information shared during the course of this Agreement confidential and shall not disclose it to any third party without prior written consent.
- Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
- Entire Agreement: This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, or understandings, whether written or oral.

ENFORCING THIS AGREEMENT
If a court finds that any part of this agreement is not valid, or is illegal or impossible to enforce, that part of the agreement will be treated as being deleted, and the rest of this agreement will not be affected.
Consignment Agreement
This Consignment Agreement ("Agreement") is entered into on this __________ day of _____, 20, ("Effective Date") by and between:
YogaCompany, a company organized and existing under the laws of [Insert Country/State], with its principal place of business at 14, Prem Court Dinshaw Vachha Road, Churchgate, Mumbai, India, and

Whereas, the Consignor is the rightful owner of certain artworks ("Artworks") created by YogaCompany and desires to consign and offer these Artworks for sale; and
Whereas, the Consignee is engaged in the business of selling art and desires to sell the Artworks on consignment for the Consignor, subject to the terms and conditions set forth herein.
Now, therefore, in consideration of the mutual covenants and promises contained herein, the Consignor and Consignee agree as follows:
- Consignment of Artworks 1.1 The Consignor hereby agrees to consign the Artworks described in YogaCompany.in to the Consignee for the purpose of sale. 1.2 The Consignee accepts the Artworks on consignment and agrees to use reasonable efforts to promote and sell the Artworks. 1.3 The Consignee shall not alter, modify, or reproduce the Artworks without the prior written consent of the Consignor.
- Responsibilities of the Consignee 2.1 The Consignee shall exercise reasonable care and diligence in handling, displaying, and storing the Artworks to ensure their safety and preservation. 2.2 The Consignee shall maintain accurate records of all sales, including the date of sale, the price, and the buyer's information, and shall provide monthly reports to the Consignor. 2.3 The Consignee shall promptly remit to the Consignor the proceeds from the sale of the Artworks, less any agreed-upon commission or fees, within 28 days from the date of sale.
- Pricing and Commission 3.1 The Consignor and Consignee shall mutually agree upon the initial sale price for each Artwork. 3.2 The Consignee shall be entitled to a commission of 10% percent of the sale price for each Artwork sold. 3.3 The Consignor acknowledges that the Consignee may offer discounts or promotions on the Artworks, provided that the Consignor's share of the sale proceeds is based on the original sale price.
- Term and Termination 4.1 This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon Immediate' written notice to the other party. 4.2 In the event of termination, the Consignee teriminate business at no expense of the Consignee under any Circumstance..
- Risk of Loss 5.1 The risk of loss or damage to the Artworks shall remain with the Consignor until the Artworks are sold, at which point the risk shall transfer to the buyer.
- Governing Law and Jurisdiction 6.1 This Agreement shall be governed by and construed in accordance with the laws of India.
6.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of India and the parties hereby submit to the personal jurisdiction of such courts.
- Confidentiality 7.1 The Consignee agrees to treat all information received from the Consignor, including but not limited to pricing, sales data, and customer information, as confidential and shall not disclose or use such information for any purpose other than the performance of this Agreement, without the express written consent of the Consignor.
- Indemnification 8.1 The Consignee agrees to indemnify and hold the Consignor harmless from any claims, liabilities, damages, or expenses.
- Entire Agreement 9.1 This Agreement constitutes the entire agreement between the Consignor and Consignee regarding the consignment of the Artworks and supersedes all prior agreements, understandings, and representations, whether oral or written.
- Amendments 10.1 Any amendment to this Agreement must be in writing and signed by both parties.
- Severability 11.1 If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver 12.1 The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of that provision or any other provision herein.

YOUR LEGAL RIGHTS
YOGA COMPANY offers internet services as a convenience to our clients, but YOGA COMPANY will not be responsible to you for errors or failures to execute payments placed on the internet or on your mobile device, including, without limitation, errors or failures caused by: (i) any loss of connection to the online-only sale; (ii) a breakdown or problems with the online software; and/or (iii) a breakdown or problems with any internet connection, computer, mobile device or system. Execution of on-line and mobile internet sales a is a free service and YOGA COMPANY does not accept liability for failing to access the payment site or to execute an online or mobile internet bid or for errors or omissions in connection with this activity.
WAIVER
No failure or delay to exercise any right or remedy provided under these conditions of sale shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.
